These Terms of Service ("Terms") govern your use of the RevSplit Shopify application ("Service"). By installing or using RevSplit, you agree to these Terms.

1. The Service

RevSplit provides tools that allow merchants to configure and automate revenue sharing and payouts to collaborators. RevSplit is not a bank, payment institution, or escrow service.

2. Eligibility

You must have authority to bind the business installing RevSplit and comply with all applicable laws.

3. Payments and Payouts

3.1 Payment Processing

RevSplit uses third-party payment processors (such as Stripe) to facilitate charges and payouts. Your use of those services is subject to their terms.

3.2 No Guarantee of Payout Timing

Payout timing depends on third-party processors, banking systems, and settlement schedules. RevSplit does not guarantee immediate or same-day payouts.

3.3 Fees

Merchants are responsible for applicable platform, processing, and transaction fees as disclosed in the Service or app listing.

4. Merchant Responsibilities

Merchants are responsible for:

Configuring revenue shares correctly
Ensuring collaborators are entitled to payouts
Providing accurate information
Complying with tax, labor, and contractual obligations

RevSplit does not determine employment or contractor status.

5. Collaborator Responsibilities

Collaborators are responsible for:

Maintaining accurate payout information
Complying with applicable tax obligations
Reviewing payout statements for accuracy

6. Refunds and Adjustments

Refunds, chargebacks, and cancellations may result in adjustments to revenue shares and payouts. RevSplit may reverse or offset payouts to reflect refunded transactions.

7. Suspension and Termination

We may suspend or terminate access to the Service if:

Required payment methods are missing
Legal or compliance concerns arise
Use violates these Terms

Merchants may uninstall the Service at any time.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, RevSplit shall not be liable for indirect, incidental, or consequential damages, including lost profits or lost data.

10. Indemnification

You agree to indemnify RevSplit from claims arising out of your use of the Service, your configurations, or your violation of applicable laws.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which RevSplit is organized, without regard to conflict of laws principles.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of updated Terms.
